By accessing or using RECLAIM ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

RECLAIM is a payment recovery service that helps businesses recover failed subscription payments through automated retries, email communications, SMS notifications, and self-service customer portals. The Service integrates with Stripe to access payment data and perform recovery actions.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old
  • Have a valid Stripe account in good standing
  • Have authority to bind your business to these terms
  • Comply with all applicable laws and regulations

4. Account Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Ensuring your use complies with your Stripe agreement
  • Obtaining proper consent for customer communications

5. Permitted Use

You agree to use the Service only for:

  • Recovering legitimate failed subscription payments
  • Communicating with your customers about payment issues
  • Managing your payment recovery workflow

6. Prohibited Use

You may not:

  • Use the Service for fraudulent or illegal activities
  • Send spam or unsolicited communications
  • Attempt to circumvent security measures
  • Reverse engineer or copy the Service
  • Violate any applicable laws or regulations

7. Payment and Billing

Billing for the Service is handled through the Stripe App Marketplace. By installing the app, you agree to the pricing displayed in the Stripe App Store. Subscription fees are billed monthly and are non-refundable except as required by law.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We are not liable for any downtime or service interruptions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY SPECIFIC RECOVERY RATES OR RESULTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify and hold harmless RECLAIM and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will be revoked and your data will be handled according to our Privacy Policy.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms.

14. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
